General Terms & Conditions
- All estimates and quotes are derived from our understanding of your requirements and the specified time frame. Any modifications to the functionality, including small enhancements, may lead to additional costs. Please ensure to confirm and clarify our understanding through a virtual meeting.
- By accepting a quote, you acknowledge and agree to the terms and conditions of CodeSoar Technologies Pvt. Ltd. Acceptance may be made via email, through payment of the initiation fee, or by signing the quote.
- Clients must ensure that all requirements are accurately reflected in the quotes, proposals, and estimates, and that we have a clear understanding of their needs. Clear guidelines, including any necessary flowcharts or specific details, should be provided. If such details are not provided, we will base our quote on our understanding of the requirements. If discrepancies arise later, additional costs may be incurred to accommodate the changes. Therefore, it is essential to thoroughly clarify all aspects of your website development to ensure that the quote covers the correct requirements.
- Any complexities related to specific tasks should be communicated upfront and included in the proposal for proper cost estimation. We operate in good faith and depend on our clients to provide a comprehensive overview during the quotation process. CodeSoar Technologies will not be held responsible for any discrepancies resulting from unclear requirements.
- CodeSoar Technologies will strive to complete the project or changes within the given timeframe. However, reasonable delays may occur if the functionalities are redefined or modified.
- Any delays on the client's end may result in delays to the project and the proposed timelines.
- Any bugs (programming errors) reported during or immediately after development will not incur additional charges.
- Any rework on a task that has already been completed will incur additional charges. Similarly, any changes to the design after it has been approved will also result in additional charges.
- Any modifications requested during development or after the Project Live approval will be subject to additional charges. Any work exceeding the initial estimates will be billed separately. CodeSoar Technologies will not be responsible for delays caused by changes to the project brief.
- Website/application content and all related materials must be provided to us within the first two weeks of the project's commencement.
- Our websites/applications are typically tested on PCs and smartphones using the most recent versions of the following browsers: Firefox, Chrome, and Safari. If you require testing on any other browser, please inform us in advance.
- Responsive and multi-device compatible web pages are tested on iPhones and iPads. If you require testing on other devices, please notify us in advance.
- If your website/application is hosted outside of CodeSoar's servers, any extra man-hours needed to resolve server or network-related issues are not included in our quotes and may be billed separately.
- If you wish to put the project on hold, please inform us in writing in advance. To avoid additional charges for holding the project, the account must be up to date based on the work completed. Further details can be discussed if this situation arises.
- The website or software application will be designed for deployment on the web, using a commercial-grade web server or a similar setup.
- Depending on the required functionalities, third-party components like payment gateways or SSL certificates may be needed to build the website/application. While CodeSoar Technologies makes every effort to select appropriate components, any unforeseen limitations of these third-party services are beyond our control. The costs for third-party components (such as SSL certificates, payment gateways, Google AdWords, plugin licenses, etc.) are not included in our quotes.
- CodeSoar Technologies takes no responsibility for any open-source products such as WordPress, Open Source carts, Joomla, etc. It is the client's responsibility to update all components and third-party software. We recommend taking regular backups to prevent any disruptions.
- The client must acknowledge that unforeseen circumstances, particularly related to the integration of third-party software, may cause delays in the development process. We will make every effort to complete the project as outlined in the proposal. As long as the delay remains within a reasonable timeframe, the client agrees not to penalize us for any legitimate delays, provided that we have made all reasonable efforts to adhere to the proposed schedule.
- Charges for domain registration, renewal, and related services are not included in any project or proposal unless specifically stated. If required, a separate quote will be provided for approval by the client.
- Hosting charges are not included in the quotations unless explicitly mentioned. If required, CodeSoar Technologies can arrange a suitable hosting solution, and a separate quote will be provided for client approval. If clients opt to manage their own hosting, they should consult with us before finalizing the hosting type and database to ensure compatibility with the development technology. Please note that full access to hosting support is necessary for testing and deploying the application. CodeSoar Technologies will not be responsible for any delays or errors caused by the hosting provider's actions, either direct or indirect.
- CodeSoar Technologies usually develops and tests websites/applications on our own servers or hosted domains. Access to our test servers and websites is not granted to clients or third parties. The website/application will be transferred to a specified third-party server once all invoices and payments are fully settled.
- Notwithstanding any other provision in this agreement, in consideration of the Customer entering into this agreement with CodeSoar, upon full payment of any outstanding invoices, CodeSoar will grant the Customer an unconditional license to reproduce, publish, communicate, use, modify, or otherwise handle: the graphics, texts, and images used in the published website and its associated forms and functionality. This license does not extend to the intellectual property related to the production of the website, including digital strategies, programming code, database structures, scripts, forms, or functionalities.
- All communications and correspondences are typically conducted via email. It is the client's responsibility to keep us informed of their relevant email addresses.
Annual Maintenance Charges
- Each maintenance package is valid for a minimum duration of 12 months.
- Maintenance packages are charged annually, with monthly payments collected on the 1st of each month.
- Packages may offer 12 months of basic website hosting, email hosting, and DNS hosting.
- Packages are intended solely for website maintenance tasks.
- It does not cover any Digital Strategy, Business Analysis, Solution Architecture, SEO, or Digital Marketing services. Adding these will incur extra charges.
- We recognize that your needs may vary month to month. As such, we offer flexibility in good faith when necessary.

- Any urgent tasks involving additional features will incur separate charges.
- The package is automatically renewed each year.
- Monthly maintenance package fees can only be paid online. No other payment methods will be accepted.
- Monthly maintenance package fees will be billed to the client's account on the 1st day of each month.
- More than three missed payments within a year may result in the termination of the package, and the client will be required to pay the full remaining balance immediately.
- No refunds will be provided for any fees associated with the monthly maintenance package.
- If the client wishes to cancel the automatic annual renewal, they must notify us in writing (via email: [email protected]) at least one month before the renewal date.
- If the client decides to terminate an active maintenance package for any reason, they will be required to pay the remaining balance for the unused months.
- CodeSoar Technologies has the right to terminate the annual maintenance at any time, provided written notice is given to the client.
Annual Renewable Plan
- The Annual Software Plan is valid for 12 months from the date of activation or renewal.
- The plan will automatically renew at the end of each annual term unless canceled before the renewal date.
- Renewal charges will be billed annually in advance.
- Prices are subject to change with prior notice (minimum 30 days before renewal).
- Payment must be completed to ensure uninterrupted access to the software and its services.
- No refunds will be issued for cancellations made after the renewal date.
- Active subscriptions are entitled to free software updates and standard technical support throughout the subscription term.
- Priority support and customizations may be subject to additional charges.
- Failure to make timely payment may result in suspension or termination of services.
- Reinstatement of service after suspension may incur reactivation fees.
- Use of the software is governed by our [End-User License Agreement (EULA)].
- You must not resell, share, or distribute the software without prior written consent.
- The company is not liable for any data loss, business disruption, or damages caused by software usage.
- Maximum liability is limited to the amount paid for the annual subscription during the current term.
- These terms shall be governed by and interpreted in accordance with the laws of India.
- We reserve the right to modify these terms at any time. Changes will be communicated via email or on our website.
General Approach
For standard website design and development projects, we follow these steps:
- Once the quote is approved and the initial payment is received, the project begins. If necessary, a Scoping Workshop is conducted to explore the project requirements in detail.
- After receiving the brand assets—such as your logo, images, and other branding materials—we'll provide a design mock-up for your review within 5 to 10 business days.

- You'll have the opportunity to review the design and suggest any improvements. Typically, 3 to 5 design revisions are included within the provided estimates, depending on your project. For specifics, please refer to your allocated design and development hours.
- After the design is approved, we begin the HTML development phase. We'll usually need 3 to 5 banners—either text, images, or a mix—for the rotating sections.
- After the HTML development is complete, we'll set up your website on the selected Content Management System (CMS), if it's part of your project. To ensure a smooth process, please share all website content and copy before this stage begins.
- Based on the time and resources allocated to your project, we'll migrate as much content as possible from your old website to the new one. Any remaining content can be added through the CMS by your team, and we'll provide clear instructions to guide you through the process.
- When the site is complete on our side, we'll pass it to you for review, testing, and any content updates you'd like to make.
- At this point, please provide a Go-Live date so we can schedule the launch of your new website or project.
- Once we receive Go-Live approval and all payments are settled, your website can typically be launched within 3 to 5 business days. Please note that full payment is required before we can transfer the website to any external servers.
- Please note that a limited number of man-hours are allocated to the project. For websites priced under ₹15,999 INR, timelines are estimated at 8 to 12 working weeks, depending on the project's scope. Delays beyond this timeframe may lead to additional project management costs. If you anticipate needing more time, let us know before the project begins.
- Generally speaking, frequent back-and-forth communication can be time-consuming. To help ensure efficient use of the project team's time and to avoid any unnecessary additional costs, we recommend sharing all relevant details at the beginning of the project.
- We will keep you informed of project progress through emails and/or phone calls as needed. If you ever require a status update, feel free to reach out at any time. Additionally, please ensure we have your up-to-date contact information for seamless communication.
- After the website/application is live on the client's domain, maintaining regular full backups and keeping all components and third-party software up to date becomes the client's responsibility.
